Humana is swapping one big-money partner for another. The insurer announced a $2.8 billion joint venture with investment giant BlackRock, which will take a majority stake in nearly 150 CenterWell Senior Primary Care clinics. The deal is designed to lighten Humana's financial load and fuel further clinic growth over the next two years.
Humana is doubling down on senior primary care — with a new financial heavyweight in its corner. The insurer announced a $2.8 billion joint venture with BlackRock, one of the world's largest investment firms, which will acquire a majority stake in nearly 150 CenterWell Senior Primary Care clinics. The move replaces an existing arrangement with private equity firm Welsh, Carson, Anderson & Stowe (WCAS), which had backed the clinics since 2020.
For Humana, the switch isn't just about swapping partners — it's a strategic financial reset. The new deal eliminates a costly "put option" that previously obligated Humana to buy back WCAS's equity stake at a set price. Instead, CenterWell gains the option (not the obligation) to purchase clinics from the joint venture starting in 2028, giving the company far more flexibility. Humana says the deal will not impact its 2026 earnings forecast.
By the Numbers:
Why it matters: This deal signals growing Wall Street appetite for senior-focused primary care as a long-term investment. For patients, Humana says there will be no changes to care. For the broader healthcare system, it reflects a continuing trend of insurers partnering with financial institutions to scale value-based care models for aging populations.
